Silver Galaxy Studios®, The High Limit Room®, and certain other names and phrases (collectively, “SGS Marks”) are registered trademarks or trademarks of Silver Galaxy Studios LLC (Saint Kitts) (“SGS IP Co.” or “SGS”) in the USA, Europe, and other countries. SGS enforces its rights against trademark infringement, false designation, and related Claims globally. See 802 F. Supp. 278 (1992) regarding false generic names.
Copyrights
All visual, textual, and audial content within or affixed to SGS Services, e.g. apps, games, websites (“SGS Content”) is protected under copyright laws in the USA and internationally, including, but not limited to, registered and literary copyrights. Unauthorized use or reproduction is prohibited. Creators who, with respect to SGS Content, breach substantial similarity, literal elements, comprehensive elements, or total concept and feel, infringe SGS copyrights. SGS enforces its rights under Title 17 of the U.S. Code, misappropriation, and related Claims globally.
User Contract & Prohibted Use
Use of SGS Services and Content is governed by a binding user contract (“Terms of Use“), grounded in SGS’s exclusive rights under 17 U.S. Code § 106. Contract formation follows reasonable acceptance principles (UCC § 2-206), and SGS enforces both contract law and the law of agency against unauthorized use. Entertainment employers should review respondeat superior and United States v. Gold, 743 F.2d 800, 823 (11th Cir. 1984).
Selected Terms (not exhaustive):
(1) No Commercial Use / No Production Use. SGS Services, SGS Marks, SGS Content, and SGS New Inventions, whether patented or unpatented, shall not be used for commercial or production purposes. This prohibition includes, but is not limited to, planning, designing, producing, improving, selling, or distributing creative works.
(2) SGS New Inventions. SGS New Inventions, whether patented or unpatented, as well as any component, derivative, imitation, modification, or enhancement thereof, shall not be made, offered for sale, or sold. Patent-like protections apply, and contractual privity is enforced. See No. 16-30039 (5th Cir. 2016).
(3) SGS Content. Except as expressly permitted under a limited license, SGS Content shall not be copied, reproduced, uploaded, downloaded, transmitted, distributed, created as derivative works, or otherwise used. This includes, but is not limited to, making photographs, screenshots, video recordings, imitations, emulations, modifications, adaptations, or transformations.
(4) Prohibited Works. In the event of a Prohibited Work, you, any Principal, and other Bound Parties agree to grant SGS an exclusive license (exclusive even as to licensor) to all substantive rights so SGS can enforce its rights, subject to court approval.
Exclusive Forum and Service
All Claims must be filed and adjudicated exclusively in the courts located in Austin, Texas, USA (including proper appellate courts). No other forum worldwide shall have authority to adjudicate. Governing law: US federal and Texas. No conflict of laws rules. Judgments obtained in these proper forums are enforceable worldwide. International service conventions are void, and SGS service of process terms prevail globally.
This forum selection is contractually binding and exclusive as to both jurisdiction and venue. SGS Terms of Use do not rely on the Texas Long Arm Statute (Tex. Civ. Prac. & Rem. Code § 17.042).
